Yahoo: Rejecting Microsoft; Entering the Bargaining Stage

With news that Yahoo is set to reject Microsoft’s unsolicited offer for its shares, Yahoo is entering the bargaining stage in the Kubler-Ross five-step model of loss. It starts with denial, of course, then anger, then bargaining, which is where we now are with news that Yahoo is set to reject Microsoft’s unsolicited $31/share takeover offer. Is Yahoo right to bargain? Sure. Most sum-of-parts analysis of Yahoo — my own included — puts Yahoo’s breakup value somewhere between $35 and $42, depending on how much you want to trust the valuations of Alibaba and Yahoo Japan. That’s materially over Microsoft’s offer, doubly so if you consider that Microsoft has a legitimate strategic interest in owning Yahoo, making this more than a purely valuation-driven exercise. …

Brazil Plays: Gafisa S.A.

Today is Cramer’s last Brazil pick was his best in homebuilder Gafisa S.A. Global stocks listed on local stock exchange.

This week Prague Stock Exchange welcomed two companies from abroad. First is from Austria, Vienna Insurance Group which is traded in main segment SPAD. Next emission is on second (electronic) market RM-SYSTEM. This time is coming from Finland, it is Nokia (NOK). After Deutsche Bank AG (DB), Nokia is second foreign stock listed on electronic exchange. ETF market is booming. On the other side the old kind of exchange traded mutual funds are loosing vogue. Currently you can find plenty of ETF specialty like global equity, sector’s niche, currency ETF and also with fixed income. But the offer for fixed income ETF is quite limited. Mostly focused only on US government, corporate and municipal bonds. Investors looking for global exposure can choose among closed end funds. Yahoo!’s (YHOO) Demented Board

Yahoo!’s (NASDAQ: YHOO) board will presently reject a $31 a share buy-out bid from Microsoft (NASDAQ: MSFT), according to The Wall Street Journal. The group thinks the offer is undervalued and will not look at any offer under $40 a share. For the record, Yahoo!’s shares have been above $40 only very briefly in the last five years. That was in late 2005 and early 2006. Only five weeks ago, the traded below $19. The question becomes whether there is any case to be made that the Yahoo! board is acting as proper fiduciaries. US stocks back in green.

Today we can see session again with high volatility. In contrast to previous days today it looks more in favour of bulls. If you look at the chart Nasdaq bottomed with similar candlestick as on August. If this is really short-term bottom we will see in following days. US markets extend losses.

Not even today’s Bernanke’s and Bush’s call for stimulus package are helping markets stop losses. Broad indices are approaching bottoms created on March 2007 after China sell-off. Technical chart shows us that Nasdaq Composite is really close to that bottom which is on 2331 points. Negative sentiment is fuelled after Merrill Lynch (MER) revealed write down by almost 10 billion USD. Only during last year shares lost 42%. Let’s see FED action during next meeting which takes place on 30. January or maybe earlier if there is emergency meeting. My expectation is 50 bp cut….
